1. Definitions

• "Restaurant" or "you" means the business (and its authorised users) that registers for and uses the Service to manage reservations.
• "Guest" means an end customer who books a table with a Restaurant through the booking widget or another Superpotion-powered channel.
• "Widget" means the embeddable booking component we provide for you to place on your own website.
• "Guest Data" means personal data relating to Guests that is collected through the Service on your behalf.

2. The Service

Superpotion provides software that helps restaurants take and manage table reservations, including a reservation timeline, an editable floor plan, a waitlist, guest records, analytics, automated confirmation and reminder emails, and an embeddable booking widget with optional prepayments.

We provide the technology that facilitates bookings. The agreement to provide a table, a meal, and any related hospitality is entered into directly between the Guest and the Restaurant. Superpotion is not a party to that agreement and is not a restaurant, food-service provider, or payment institution.

3. Accounts and eligibility

To use most features you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use. You must be at least 18 years old and able to enter into a binding contract.

4. Subscriptions, fees and payment

Access to the Service is offered on the subscription plans described on our website. Fees, billing frequency, and any free trial are set out at the point of purchase and may be updated from time to time. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes.

Subscriptions renew automatically for successive periods unless cancelled before the end of the then-current period. Except where required by law, fees already paid are non-refundable. We may suspend or limit the Service if fees are overdue.

5. Guest bookings, prepayments and no-shows

You may choose to enable prepayments or no-show fees for reservations made through the Widget. Where enabled, Guests are informed of the amount before confirming, and payments are processed by our payment provider (Stripe). Superpotion does not store full card details.

You are responsible for setting and clearly communicating your own booking, cancellation, prepayment, and refund policies, and for handling refunds and disputes with your Guests in line with applicable law. Superpotion facilitates these flows but is not responsible for your policies or their outcomes.

6. Your responsibilities

• Use the Service lawfully and only for managing genuine reservations for your own business.
• Ensure the information you publish through the Service (opening hours, capacity, policies) is accurate.
• Comply with all applicable laws, including consumer-protection and data-protection law, in your dealings with Guests.
• Act as the controller of Guest Data you collect through the Service, and handle it fairly and lawfully (see clause 12).
• Keep your account credentials secure and ensure your authorised users comply with these Terms.

7. Acceptable use

You must not misuse the Service. In particular, you must not: attempt to gain unauthorised access to the Service or its systems; interfere with or disrupt its integrity or performance; reverse engineer or copy the Service except as permitted by law; use it to send unlawful, deceptive, or harassing communications; upload malware; or use it to infringe the rights of others.

8. Intellectual property

The Service, including its software, design, and content (excluding your data and content), is owned by Superpotion or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights to the data and content you provide; you grant us the rights necessary to host and process it in order to provide the Service.

9. Third-party services

The Service relies on third-party providers, including Stripe (payments), Resend (email delivery), and our hosting provider. Your use of features that depend on these providers may be subject to their terms. We are not responsible for the acts or omissions of third-party providers.

10. Availability and support

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update, or modify features, and may temporarily suspend access where reasonably necessary. We will use reasonable efforts to limit disruption and to give notice of planned downtime where practicable.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that any given reservation, prepayment, or notification will be error-free.

12. Data protection

When we process Guest Data on your behalf to provide the Service, you act as the data controller and we act as your data processor. Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. Where required, a data-processing agreement applies to that processing. You are responsible for having a lawful basis to collect and share Guest Data with us.

13. Limitation of liability

To the fullest extent permitted by law, Superpotion will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold Superpotion harmless from claims, damages, and reasonable costs arising out of your use of the Service, your content or data, your dealings with Guests, or your breach of these Terms or of applicable law.

15. Term, suspension and termination

These Terms apply for as long as you use the Service. You may cancel your subscription at any time as described in your account settings. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Service unlawfully. On termination, your right to use the Service ends; we may delete your data after a reasonable period in accordance with our Privacy Policy and applicable law.

16. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, for example by email or through the Service. Your continued use after the changes take effect constitutes acceptance of the updated Terms.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes arising out of or in connection with them will be submitted to the competent court in the Netherlands, without prejudice to any mandatory consumer-protection rights you may have.
